An organization is contractually obliged to perform certain functions.
The reason being that many baseball players were contractually obligated to Topps and therefore couldn't lend their name or likeness to another trading card company.
In a few instances, this is because the actors who were musicians were contractually prohibited by their record labels to appear on the soundtrack.
Any terms which are intended to be contractually binding should be contained in the contract.
