full-ratchet Finance Definition
A
provision found in financing agreements in the venture capital industry that
automatically increases the equity percentage of the original investors in the
event that a new round of financing occurs. The original venture capital
investors are protected if a company has a down round of financing, which is
financing that values the company at a lower price. This provision protects the
venture capital investors; however, it hurts the founders because their share
of the company is decreased.
