proxy solicitation definition - finance
The process of obtaining shareholdersÂ’ agreement for proposals. Proxy solicitation materials are issued to give shareholders information that enables them to vote in an informed manner. The materials presented to shareholders must be filed with the Securities and Exchange Commission (SEC) before they are given to shareholders. The SEC makes certain that the materials comply with disclosure rules, including disclosing all appropriate facts about the issues that shareholders will be voting on.
