material event definition - finance
News or details that may reasonably be expected to affect a companyÂ’s stock price and thus decisions that investors make about buying or selling the companyÂ’s stock. Material events may be the addition or loss of a large customer, falling or rising sales, a merger agreement, financial results above or below expectations, or a change in the companyÂ’s dividend policy. Material events must be disclosed to the public and to the Securities and Exchange Commission in an 8-K.
