down round

down round definition - finance
A second or subsequent round of venture capital or private equity financing for a start-up company, in which it is not able to raise as much as it did in previous financings because its valuation is lower than the previous round. The valuation may have fallen because the price per share decreased or because investors demanded a larger equity stake in the company while decreasing the amount of financing.
